Customer registration

Sales may only be made to commercial contractual partners from the hotel, restaurant and food industries that are also registered with us (hereinafter referred to as “Buyers”). Registration with SSP Konsumgüter Trade & Consult GmbH (hereinafter referred to as the “Seller”) requires a copy of the Buyer's business license and a filled-out “Customer Registration” form. In addition, information of the Buyer’s commercial registry number (in Germany HRA or HRB) and tax number must be submitted. General terms and conditions of business as well as general terms of purchase of the Buyer shall not apply.
Direct delivery by the Seller

Delivery shall be free of charge to the Buyer’s address (behind the first lockable door) for minimum orders of EUR 600 (net) per delivery to the following destinations in Germany as well as to Luxembourg and Strasbourg within the delivery time specified by the Seller:

Frankfurt / Mainz / Wiesbaden / Main-Taunus-Kreis / Darmstadt / Leipzig / Berlin (city) / Hamburg (city) / Bremen / Hannover / Düsseldorf / Dortmund / Bochum / Essen / Trier / Köln / Bonn / Aachen / Saarbrücken / Mannheim / Heidelberg / Stuttgart / Heilbronn / Karlsruhe / München / Nürnberg / Würzburg / Dresden / Luxemburg / Strasbourg.

For deliveries to the Frankfurt city center the minimum order value shall be EUR 300 (net).

In case of smaller orders additional transport fees, EUR 30 (net) or EUR 20 (net), will be charged.

For orders outside of the regular delivery schedule the Buyer has to pay the full amount of transport fees.
Delivery by freight forwarder

In case of delivery by freight forwarders, dry and frozen goods shall be shipped separately. In Germany (with the exception of German islands) the Seller bears the basic transport costs* for curbside delivery to the Buyer’s address for orders valued at a minimum of EUR 700 (net) for dry goods or EUR 900 (net) for frozen goods.

For Buyers in Luxembourg as well as in Strasbourg the Seller bears the basic transport costs* for curbside delivery to the Buyer’s address for orders valued at minimum of EUR 1.000 (net) for dry goods and EUR 1.500 (net) for frozen goods. If the order value is under the amounts specified, the full shipment fees will be charged to the Buyer.

Further shipment information (e.g., German islands, other destinations abroad, et al.) will be provided by the sales department. Additional fees (e.g., preferred date for delivery, notification of dispatch) have to be paid by the Buyer.

*Additional costs such as fuel surcharges, tolls etc., will be charged to the customer depending on the current situation, regardless of the delivery area and type of delivery (via SSP truck or freight forwarder).
Payment

Net prices excluding sales tax per individual container, ex warehouse including packaging are specified in the sellers’ price list. Sales tax shall be indicated separately on the invoice. Payment can be made as follows: in advance, purchase on account (max. 21 days after invoice date) or by SEPA Core Direct Debit (max 21 days after invoice date). For payment by direct debit a contract for a SEPA Direct Debit Mandate must first be concluded with the Seller. Any bank fees incurred (e.g., due to chargebacks) shall be borne by the Buyer.
Remittance

Remittance of goods shall only take place in cases of damaged goods, goods with quality defects or goods with expired best- before date (BBD) at the time of delivery. Claims made later than the period of 14 days after receiving the goods will not be recognized. The return of frozen goods is only possible in case of justified claims (e.g., damaged or poor-quality goods as well as incorrect delivered goods). A goodwill credit is excluded.

All goods shall be checked immediately for any defects upon delivery. After the inspection of goods, the packing list / delivery note has to be signed. All defects or claims must be written down on the packing list / delivery note.

Goods may only be returned in the same condition as when they were delivered. As a general rule goods may not be returned with damaged or dirty packaging or if it is noticeable that the goods have already been on display.

If deficiencies such as damages, quality defects or exceeding BBD are immediately determined at the time of delivery, the goods can be returned, subject to the inspection of the driver.

If any of the defects described above (except for missing goods) are detected after delivery a claim regarding the good(s) can also be made within a period of 14 days. In this case written notification and a copy of the corresponding invoice / packing list must be sent to the Seller via fax or e-mail.

The good(s) can then be returned using the return slip provided by the Seller.
Consequences of delayed payment

The payment term shall begin with the invoices date of issue. Payment shall only be deemed fulfilled as of the date it is credited to the account of the Seller (by the 28th day after the invoices date of issue at the latest).

The Seller shall be entitled to withdraw from the contract and assert the following claims if the buyer has not fully paid within 28 days after the due date:
1. Return of any goods that have already been delivered;
2. Compensation for expenses;
3. Future deliveries shall only be performed after payment in advance;
  
  Furthermore, the Seller is also entitled to demand default interest of 10% from the due date. Additionally dunning fees shall be charged with every reminder. In case of chargebacks any additional costs incurred (e.g., bank fees) shall be borne by the Buyer.
Securities

If deterioration in the creditworthiness or payment difficulties on behalf of the Buyer should become known, the Seller is entitled to curtail the payment terms granted and demand immediate payment of bills outstanding as well as payment in advance for all further deliveries.
Retention of title

The goods shall remain under ownership of the Seller until full payment has been made.
Place of fulfillment

The place of performance and jurisdiction for deliveries and payments shall be Offenbach am Main.
